Terms of Use

Agreement

These terms apply when you access ClockBase or use its time tracking, workforce, payroll review, paystub, export, or payment-preparation features. If you use ClockBase for an organization, you confirm that you are authorized to accept these terms for that organization. If your employer provides your account, you must also follow its workplace policies.

Accounts and administrators

You must provide accurate information, protect your credentials, and promptly report unauthorized access. Workspace administrators control invitations, approvals, roles, employee records, payroll configuration, and access within their workspace. You may not access another person's account or data without authorization.

Acceptable use

You may not use ClockBase to:

  • break the law, infringe rights, or submit information you are not authorized to process;
  • probe, bypass, disable, or interfere with security, authentication, rate limits, or service operation;
  • upload malicious code, automate abusive requests, or attempt unauthorized access;
  • misrepresent time, payroll authority, identity, or payment instructions; or
  • resell or copy the service except under a written agreement with ClockBase.

Work, payroll, and payments

ClockBase helps record time and prepare administrative payroll information. Workspace administrators remain responsible for reviewing shifts, compensation, deductions, paystubs, exports, employment rules, and every payment before approval. ClockBase is not a bank, payroll remitter, employer of record, accounting firm, or substitute for an organization's own legal and tax obligations.

Wise and other payment providers are independent third parties with their own terms, verification requirements, fees, availability, and processing times. A prepared batch or export does not by itself authorize a payment.

Plans and fees

If you purchase a paid plan, its features, price, and billing period will be shown before purchase or in an order agreement. Unless stated otherwise, fees are in U.S. dollars, subscriptions renew for the selected billing period, and third-party payroll funding or transfer fees are separate. You can stop renewal before the next billing date; amounts already paid are non-refundable except where required by law or expressly agreed in writing.

Your content and our service

You and your organization keep ownership of information submitted to ClockBase. You give ClockBase permission to host, process, reproduce, and transmit that information only as needed to provide, secure, support, and improve the service and meet legal obligations. ClockBase and its licensors retain all rights in the software, design, documentation, and brand.

Availability and changes

We work to keep ClockBase reliable, but the service may occasionally be unavailable for maintenance, provider outages, security response, or events beyond our control. We may change features or these terms as the service develops. Material changes will be posted with a new effective date and, where appropriate, communicated through the service.

Suspension and termination

We may restrict or suspend access when reasonably necessary to protect the service, users, or data; respond to legal requirements; address non-payment; or investigate a serious breach of these terms. An organization may stop using ClockBase subject to its plan or written agreement. Data export and deletion requests remain subject to security, payroll, tax, audit, and legal retention requirements.

Responsibility

To the extent permitted by law, ClockBase is provided without implied warranties and ClockBase is not liable for indirect, incidental, special, consequential, or punitive damages. ClockBase's total liability arising from the service will not exceed the fees paid for the affected service during the 12 months before the event giving rise to the claim. These limits do not apply where applicable law does not permit them.

Governing law and contact

These terms are governed by the laws of British Columbia and the federal laws of Canada that apply there, without regard to conflict-of-law rules. Courts located in British Columbia have exclusive jurisdiction, unless applicable law requires otherwise. Questions can be sent to info@getclockbase.com.
